The Uniswap governance community is voting on a proposal to establish a legal entity in Wyoming, aiming to protect contributors while maintaining decentralized governance.

New Entity Purpose

The entity, referred to as DUNI, is designed to handle off‑chain activities that decentralized protocols often struggle to manage directly. According to the official proposal on Snapshot, those activities include entering into contracts, engaging service providers, and managing regulatory or tax obligations.

Importantly, the proposal emphasizes that Uniswap’s on‑chain governance and the UNI token would not be affected by the formation of DUNI.

Supporters of the proposal frame the entity as a protective layer for community members. By creating a formal legal wrapper, Uniswap governance participants would be less exposed to potential personal liability for collective actions. In practice, that means individuals engaging in votes would have stronger safeguards against tax or legal claims that might otherwise target them directly.

“This is a critical step in de‑risking engagement in Uniswap Governance without compromising decentralization,” the proposal notes.

Strong Early Support

A preliminary temperature check vote on Snapshot showed 100% community support, and the plan has now advanced to a final on‑chain governance vote. That vote is scheduled to close on September 8.

Why Wyoming?

Wyoming has positioned itself as a U.S. leader in legislation related to blockchain governance, including the establishment of DAO LLC structures. By incorporating in Wyoming, Uniswap governance would join a growing list of decentralized projects seeking legal recognition under this framework.
